    First, oral contract are binding legal agreements in every state. The statute of frauds requires certain contracts to be in writing and signed by the person to be charged. Pursuant to MCLS § 440.2201(1), the statute of frauds applies to the goods sold for over $500. This will act as a complete defense in to you claim.

    Second, in determining your damages we have discover what law governs. The UCC article 2 governs the sale of goods. Goods are items moveable and identified at the time of contract (“K”) formation. Here, the good is a spa, which is movable and the object of the K. As such, this K is governed by the UCC.

    The next question is whether the parties are merchants, b/c special rules applies to merchants. Merchants are people who normally deal in the kind of goods. Here, neither of you normally sell or buy spas. As such, the parties are not merchants.

    Third, K formation. To form a K there has to be offer, acceptance, and consideration
    OFFER: An offer is a indication to the offeree the offeror is willing to be bound by the terms of the K.

    Here, you offered $1,800 for the spa. In doing so, you indicated to him that if he accepted your terms you would be bound by them. You didn’t put any conditions on the terms and they were not general or vague. Lastly, because this K is governed by the UCC you need only mention the item for an offer to be valid. So you made an offer.

    ACCEPTANCE is the offeree ascent to the terms of the offer in the way authorized by the offer. However, because this K is governed by the UCC any reasonable mean of the offeree’s ascent would do. Here, he called you accepted the offer by stating he would accept $1,800 for the spa. Therefore there is acceptance.

    CONSIDERATION is a bargained for exchange of legal determent and benefit: here you would required to provide $1,800 dollars for the spa and he was required to sell you the spa in return for you $1,800.00. Therefore there was consideration.

    CONCLUSION: There is a legally binding contract because there is offer, acceptance, and consideration.

    DEFENSE TO FORMATION: Statute of Frauds SEE RULE ABOVE. Here, you purchased a spa for $1,800 which is greater than $500 as such there needs to be a writing signed by the person to be charge, the seller. You do not have this and therefore there is no K.

    Verbal contract binding in Michigan? What is our recourse?
    My husband and I saw an ad on Craig’s list for a hot tub/spa. We drove 60 miles one way to look at the spa and made an offer for $1,800. In the add, the seller was asking $2,300. He said he would take $1,950 and we said we would think about it and call him later. He called us 10 minutes later (while on ride home) and said he would accept $1,800 because his mom wanted him to make the sale. This morning, my husband called to discuss pick up, etc. and the seller agreed to wait a day or two for us to pick it up since it is very cold today – concerns about freezing, etc. The seller said that was fine and my husband agreed to send him a bank check for $1,000 today. 5 minutes later, the seller called and said he had spoken with his cousin and was making a deal with him so he was no longer selling it to us. What recourse do we have if any? We would have given him money on the spot, but he said it could wait since we were already on the way home…really disappointed. What do we do?
